1. Acceptance of Terms

By accessing or using the Wide Rivers website (widerivers.com), the Wide Rivers customer portal, or our home improvement services, you ("you," "Customer") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the website, portal, or services. These Terms include a binding arbitration clause and class-action waiver in Section 14. Please read them carefully.

3. Services

Wide Rivers provides home improvement and construction services in Western North Carolina, including windows, doors, roofing, siding, gutters, decking, drywall, flooring, stone, tile, painting, and trim/millwork. We also operate a customer portal and may, in the future, license SaaS tools to crews and partners. All services are subject to availability in your area.

4. Quotes & Estimates Are Not Contracts

  • All quotes and estimates are non-binding and subject to change based on actual site conditions, material costs, scope changes, and product availability.
  • Quotes are valid for 30 days unless otherwise stated in writing.
  • No work is contracted or committed until both parties sign a written contract. Verbal estimates, emailed proposals, and quotes generated by our system do not constitute a binding agreement.

5. Contracts & Agreements

All projects require a signed contract before work begins. The contract specifies:

  • Scope of work
  • Materials to be used
  • Total price and payment schedule (typically 50% deposit / 50% on completion)
  • Estimated timeline
  • Warranty information

The signed contract, together with these Terms and our Privacy Policy, constitutes the entire agreement between you and Wide Rivers LLC and supersedes any prior discussions, representations, or agreements.

6. Payment Terms

  • Deposit due upon contract signing (amount specified in the contract)
  • Progress payments may be required for larger projects
  • Final payment due upon project completion and acceptance
  • Accepted payment methods: Check, ACH, Credit Card (via Stripe), Financing (where available)
  • Online payments are processed through Stripe and subject to Stripe's terms; we do not store full card numbers on our servers
  • Late payments may incur additional fees as specified in your contract and may accrue interest at the highest rate permitted by North Carolina law

7. Cancellation Policy

  • Cancellations must be made in writing
  • Deposits may be non-refundable if materials have been ordered or work has commenced
  • Cancellation fees may apply as specified in your contract
  • North Carolina Three-Day Right of Cancellation: Under N.C. Gen. Stat. § 25A-39, you may cancel certain home solicitation sales within three (3) business days of signing the contract. This right applies to contracts signed at your residence. Your contract will include a Notice of Cancellation form and the deadline.

8. Warranties

  • Manufacturer Pass-Through: Product warranties are provided by the respective manufacturers. Wide Rivers passes through whatever warranty the manufacturer offers; we do not extend or expand it.
  • Workmanship: Workmanship warranties are specified in your contract.
  • Warranty claims must be submitted in writing to info@widerivers.com.
  • Warranties do not cover damage caused by misuse, neglect, acts of nature, settlement of the structure, or modifications by anyone other than Wide Rivers.
  • Disclaimer of Implied Warranties: Except for the express warranties stated in your contract, to the fullest extent permitted by law, Wide Rivers disclaims all implied warranties, including merchantability and fitness for a particular purpose.

9. Permits & Compliance

  • Wide Rivers will obtain necessary permits where required
  • Permit fees are the responsibility of the homeowner unless otherwise specified in the contract
  • All work will comply with applicable local, state, and federal building codes

10. Property Access & Preparation

  • You must provide reasonable access to the work area
  • You are responsible for removing personal items from the work area
  • Wide Rivers will take reasonable precautions to protect your property but is not liable for pre-existing conditions or unavoidable construction impacts

11. Acceptable Use of Website & Portal

When using widerivers.com or the customer portal, you agree not to:

  • Use any automated means (scrapers, bots, crawlers, AI agents) to access, copy, or index content except for publicly accessible search engine indexing of the marketing site
  • Attempt to gain unauthorized access to any account, server, or system
  • Probe, scan, or test the vulnerability of our infrastructure or bypass security measures
  • Interfere with or disrupt our services, including by transmitting malware, viruses, or destructive code
  • Reverse engineer, decompile, or disassemble any part of the website or portal
  • Use our services to harass, defame, threaten, or harm any person
  • Submit false, misleading, or fraudulent information through any form or upload
  • Use Wide Rivers' name, trademarks, or content for unauthorized commercial purposes
  • Resell, sublicense, or redistribute access to the customer portal

Violation of this section may result in immediate suspension or termination of access and may give rise to civil or criminal liability.

12. Customer Portal Accounts

Customer portal access is provided to active customers to view quotes, contracts, documents, photos, schedules, and to make deposits. You are responsible for maintaining the confidentiality of your portal credentials and for all activity under your account. Notify us immediately at info@widerivers.com if you suspect unauthorized access. We may suspend or revoke portal access at our discretion, including upon project completion plus a reasonable retention period.

13. Limitation of Liability

To the fullest extent permitted by law:

  • Wide Rivers' total cumulative liability arising out of or relating to the services or these Terms is limited to the contract value of the services actually provided to you
  • Wide Rivers is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or loss of use, even if advised of the possibility of such damages
  • Wide Rivers is not liable for delays caused by weather, material shortages, supply-chain disruptions, labor disputes, government action, pandemics, acts of God, or other circumstances beyond our reasonable control
  • Some jurisdictions do not allow limitation or exclusion of certain damages; to that extent, these limitations may not apply to you

14. Dispute Resolution — Binding Arbitration & Class-Action Waiver

Please read this section carefully. It affects your legal rights.

  • Informal resolution: Before filing a claim, you and Wide Rivers agree to first attempt good-faith resolution by sending written notice to legal@widerivers.com describing the dispute and proposed resolution. The parties will negotiate in good faith for at least thirty (30) days.
  • Mediation: If informal resolution fails, the parties will submit the dispute to non-binding mediation in Buncombe County, North Carolina, with a mutually agreed mediator. The parties share mediation fees equally.
  • Binding arbitration: If mediation does not resolve the dispute within sixty (60) days of the initial notice, any remaining dispute, claim, or controversy arising out of or relating to these Terms, the services, or the relationship between the parties shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Rules where applicable). The arbitration shall take place in Buncombe County, North Carolina, before a single arbitrator. The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
  • Class-action waiver: You and Wide Rivers agree that any dispute will be brought in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found to be unenforceable, then the entirety of this Section 14 shall be null and void, but the remainder of these Terms shall remain in full force.
  • Carve-outs: Notwithstanding the above, either party may (a) bring an individual action in small-claims court for any qualifying claim, (b) seek injunctive or equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property or unauthorized access to systems, and (c) pursue any non-waivable rights under applicable consumer-protection law.
  • Opt-out: You may opt out of this arbitration agreement by sending written notice to legal@widerivers.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, address, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

15. Indemnification

You agree to indemnify, defend, and hold harmless Wide Rivers LLC, its owners, members, officers, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from (a) your breach of these Terms, (b) your misuse of the services or website, (c) your violation of any third-party right (including intellectual property and privacy), or (d) information or files you submit through our forms or portal.

16. Termination

We may suspend or terminate your access to the website or customer portal at any time, with or without notice, for any reason, including suspected violation of these Terms. Upon termination, the sections of these Terms that by their nature should survive (including Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, Intellectual Property, and Disclaimers) shall survive.

17. Intellectual Property

All content on widerivers.com and the customer portal — including text, images, photos, logos, graphics, design, and software — is the property of Wide Rivers LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. Except for content you upload (which remains yours, subject to the license below), nothing in these Terms grants you any right or license to use our intellectual property.

License to user-submitted content: When you upload photos, documents, or other content through our forms or portal, you grant Wide Rivers a worldwide, royalty-free, non-exclusive license to use that content solely for the purpose of evaluating, performing, and warranting your project, and for our internal records. You represent that you have all rights necessary to grant this license.

18. DMCA / Copyright Complaints

Wide Rivers responds to claims of copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on our website or portal infringes your copyright, send a written notice to our designated agent:

Your notice must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and its location on our site; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act. We may remove allegedly infringing material and terminate the accounts of repeat infringers.

19. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including acts of God, natural disasters, severe weather, pandemics, government actions or orders, labor disputes, material shortages, supply-chain disruptions, telecommunications or utility failures. Affected timelines shall be extended by the duration of the delay.

20. Website Use & Disclaimers

  • Website content is for informational purposes only
  • Photos and renderings may show products or results that vary from your actual installation
  • We reserve the right to modify website content at any time
  • Submitted form data is subject to our Privacy Policy
  • Files you upload through the contact form or customer portal may be used to assess and document your project. By uploading, you confirm you have the right to share those files
  • The website and customer portal are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied

21. Third-Party Links & Services

Our website may link to third-party websites and integrate third-party services (such as Stripe, Google, Meta, and others identified in our Privacy Policy). We are not responsible for the content, terms, or practices of those third parties.

22. Changes to Terms

Wide Rivers reserves the right to update these Terms at any time. Material changes will be posted to this page with an updated "Last Updated" date and incremented version number. For material changes affecting active customers, we will provide notice through the customer portal or by email. Continued use of our website, portal, or services after changes are posted constitutes acceptance of the updated Terms.

23. Governing Law & Venue

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Subject to the binding arbitration clause in Section 14, any action permitted to be brought in court shall be brought exclusively in the state or federal courts located in Buncombe County, North Carolina, and the parties consent to personal jurisdiction in those courts.

24. Severability & Waiver

Severability: If any provision of these Terms is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.

No Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
